regarding a proposal that is being considered where I attended Dental

OCA RANT
ORTHODONTIC CENTERS: Faruqi & Faruqi Commences Securities Suit in LA
--------------------------------------------------------------------
Notice is hereby given that a class action lawsuit was commenced in
the United States District Court for the Eastern District of Louisiana
on behalf of all purchasers of Orthodontic Centers of America, Inc.
(NYSE: OCA) securities between April 27, 2000 and March 15, 2001,
inclusive (the "Class Period").
The complaint charges that defendants violated Sections 10(b) and
20(a) of the Securities Exchange Act of 1934, and Rule 10b-5
promulgated thereunder. Besides issuing a series of false and
misleading press releases concerning OCA's financial condition, the
complaint alleges that the Company improperly recognized revenues in
violation of Generally Accepted Accounting Principles ("GAAP"). As a
result, the price of the Company's common stock was artificially
inflated throughout the Class Period, reaching as high as $35.313 per
share, allowing defendant to collectively sell millions of shares in
personally held OCA Stock.
However, on March 16, 2001 the true state of the Company's finances
were revealed when the Company disclosed that as a result of an SEC
inquiry, OCA must change its revenue recognition policy to conform to
with GAAP. In response, the stock price of OCA plummeted approximately
20% in inter-day tradin on heavy trading volume.

I was manning a booth at a recent Dental Conference, trying to make
like I was some big deal big shot.
Along comes a colleague, an old guy, who has and is donating a ton of
money to the University of Pennsylvania Dental School. Suddenly he
realizes that they are building a stand-alone cosmetic dentistry
complex (supposedly for teaching but really for their own flunky hired
guns) to COMPETE WITH HIM!
Right across the street from his place!
You should have seen the spittle coming out of his mouth. The smoke
out of his ears! I wish I has a camcorder with me!

II. Mission Statement
The mission of the Section on Orthodontics is to represent the
orthodontic departments, and on their behalf, to be the liaison with
the academic and specialty organizations.
Goals and Objectives
Goal 1: To enhance our interaction with the specialty organization,
the American Association of Orthodontics (AAO), to work together to
promote the needs of the orthodontic educators and orthodontic
education.
Activities: We will continue to work in coordination with the
AAO Council of Orthodontic Education to enhance orthodontic education
and support orthodontic faculty.
Goal 2: To recruit and enhance the involvement of more faculty in the
activities on the Section of Orthodontics.
Activities: In conjunction with the AAO COE, educators symposia
are held annually prior to the AAO meeting.
Goal 3: Develop an annual program focused on methods for assessment
and selection of advanced education students, particularly orthodontic
residents.
Activities: Dr. Allen Firestone is charged with developing next
years program.
IV. Accomplishments
Goal 1: A major goal is to enhance our interaction with the specialty
organization, the AAO, to work together to promote the needs of
orthodontic educators and orthodontic education.
Activities: The AAO in response to interactions with the COE and
orthodontic educators are addressing the current crisis in dental
education, specifically the shortage of orthodontic educators.
Goal 2: Another major goal has been to enhance involvement of more
young faculty in our activities.
Activities: An educators meeting was held prior to the AAO
meeting which was well attended by both senior and junior orthodontic
faculty members.
Goal 3: Develop an annual program focused on digital imaging.
Activities: A Digital Imaging program was presented this year at
the annual ADEA meeting.
V. Membership and Attendance
Use the section membership list and the ?Section Program/Business
Meeting Attendance Rosters? provided in the section?s packet to report
the following:
Total membership for the section as of March 2003 was 139.
Total attendance at the section?s 2003 Annual Session educational
program was 53 and attendance at the sections interim meeting was 110.
Of this total, the number who are section members was 17.
Attendance at the section?s 2003 business meeting was 20.

IX. Meeting Minutes
Minutes: Section on Orthodontics / ADEA General Session 2003
San Antonio
Meeting called to order by Dr. Cisneros.
The section meeting opened with Dr. Cisneros thanking Dr. James Mah
for his seminar.
Dr. Vayda read the minutes of the last meeting (March 2002). Approval
of the minutes.
Dr. Wheeler announced that all officers are welcome to attend the
Council of Sections meetings throughout the ADEA general session.
New resolutions include the establishment of the Council of Hospital
and Advanced Education Programs and the merging of the Student Affairs
and Financial Aid Sections.
There was discussion of the decision that was made to raise the dues
of ADEA. The goal of the dues increase is to provide sections with
extra income. The sections are encouraged to come up with projects,
symposiums, conferences for which the monies can be used.
There was discussion of the ADEA restriction not to give honorarium to
ADEA members who are presenting at the ADEA meetings.
Dr. Katherine Vig presented the COE activities:
Her report stated that it has been a productive year for the
COE. The council was dedicated and enthusiastic.
Initiatives in the COE include:
1. AAO Distance Learning Catalog. This catalog is out this
year. It is a collection of CD roms and videos. A list of speakers
and topics is available through the AAO.
2. AAO Department Leaders Conference will convene in Hawaii
this May 2003.
Bob Keim has organized the one day meeting. This year each program
can send two representatives from their department. Hal Slavkin is
the scheduled speaker. There will be five break-out groups to discuss
the following topics:
1. IRB process
2. Research funding
3. Interdisciplinary research
4. New Faculty member development
5. Future directions of orthodontic research
3. The AAO luncheon for Deans and Chairs was held during this
ADEA meeting. The topic of discussion was the issue of faculty
retention and recruitment. The luncheon was well attended.
4. The Education Action Plan is up on the AAO website. Viewer
can see the initiatives in place for next year.
5. The GME funding program will be put in a form that will be
up on the Website with attachments. Dr. Cisneros is in charge of this
initiative.
Dr. Cisneros thanked ADEA for helping obtain and organize the GME
information.
Call for New Business from Dr. Cisneros.
Question raised about the status of the two new orthodontic
programs sponsored by OEC.
Dr. Poulton stated that the CDA (Common Dental Accreditation) is
aware of the concerns expressed about the programs. There will be
site visits to one of the programs in the next two weeks. The
commission date for comments is already closed. Additional comments
will have no effect at this time. Everyone on the commission is aware
of the concerns and particular attention will be paid to portions of
the accreditation standards that are in question.
Dr. Cisneros called for identification of candidates for Orthodontic
Section Treasurer.
Two nominations were announced and accepted by the candidates: Dr.
Lynn Hurst and Dr. Peter Spalding. Candidates were asked to leave the
room and a vote by show of hands took place. Dr. Spalding was elected
to be Section Treasurer.
Dr. Cisneros then thanked everyone for helping this year. He
acknowledged that Dr. James Mah?s seminar had a ?full house? in
attendance including many people from other disciplines.
Jim Cavney then discussed the upcoming AAO meeting in Orlando. The
Educational Conference meeting is housed in the same building as the
ABO written examination.
Three items of interest include:
1. Rising Star Lecture Series
2. Table Clinic Awards
3. Office of the Future
Dr. Cisneros commented that it would be beneficial if C.E. credits
were awarded for the table clinic events.
Dr. Cisneros introduced his successor Dr. Allen Firestone.
Dr. Firestone stated that his first official task would be to thank
Dr. Cisneros for all his work for the section and for the excellent
organization of the section program.
Dr. Firestone called for suggestions for topics for next year?s
program.
Possible ideas include:
1. the selection process of new residents
2. the Match and PASS process ? how is it working for programs
Dr. Fields noted that Bob Keim has interesting data about the
Match.
3. Consideration for a joint program with another Section.
4. Student evaluation and faculty evaluation forms ? how to
standardize the process. Should we standardize these across programs?
Meeting adjourned.
X. Section Program Evaluation Summary
The evaluations were obtained and submitted to ADEA for processing.
The information was not received from ADEA prior to submission of this
report.
XI. Feedback to the Administrative Board
You may provide feedback to the board about section concerns, pose
questions, and offer comments and suggestions.
XII. Attach all other relevant documents.
This report must reach ADEA by Monday, June 2, 2003. Thank you for
your annual report.

I am an ortho resident at Saint Louis University, and I too heard some
disturbing rumors this weekend from separate credible sources.
From what I understand, the deal at UMKC has already gone through. It
was a shock to everyone there, including the program chair, who had
know idea what was going on until it was too late. Lazzarra went
above the department to school deans and chancellors, who are
motivated by money, and probably don't fully understand the
implications of what they did.
The rumors:
Saint Louis University will soon be making an announcement that from
now on, 4 of its 14 orthodontic residencies will be taken from the OCA
(OEC) list.
Southern Illinois University is rumored to be in negotiations with
Lazzarra to start another OCA funded orthodontic residency program
(like Colorado and Jacksonville)
Two other schools were mentioned... San Antonio and I can't remember
the other one.
OCA must be stopped!!
